Blockchain and Artificial Intelligence: Tokenization in Corporate and Real Estate Law at the College of Registrars’ Forum

Is artificial intelligence poised to transform corporate governance and commercial law as we know them? This was one of the key questions raised during the inaugural session of the new forum “Legal Certainty, Digital Assets, and Artificial Intelligence,” organized by the College of Registrars on May 28 in Madrid. The event brought together experts from the legal, academic, and technology sectors to explore how digitalization, AI, and blockchain are redefining the legal framework around digital assets.

Within this context, Almudena de la Mata took part in the roundtable “Opportunities of Blockchain and Tokenization in Corporate Law” alongside Teresa Rodríguez de las Heras Ballell, Reyes Palá Laguna, María del Sagrario Navarro Lérida, and Carlos Balmisa García-Serrano.

In her remarks, Almudena discussed how artificial intelligence, when applied to blockchain technology, is revolutionizing the structure and operation of business corporations. She explored practical cases such as the issuance of tokenized shares, the execution of smart contracts within regulated environments, and innovative financing models based on tokenized assets. She also addressed the possibility of forming companies through capital contributions in cryptoassets, all within a legal framework that is actively evolving.

Almudena further examined how AI is transforming legal and financial operations in decentralized ecosystems, highlighting the role of AI agents in automating legal processes and applications in DeFi. She also touched on regulatory, ethical, and oversight challenges associated with using AI to combat money laundering and terrorism financing. Lastly, the session explored how these technologies are being applied in registry activities, offering a powerful example of institutional digital transformation.

The forum made it clear that we are at a turning point for law and legal certainty. It highlighted not only the transformative potential of tokenization and artificial intelligence but also the urgent need to develop robust regulatory frameworks that keep pace with technological progress. Through rigorous and multidisciplinary dialogue, the event underscored the importance of aligning innovation, regulation, and legal safeguards to ensure responsible and sustainable digital development.
